Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “you”) and AmpliRank (“AmpliRank”, “we”, “our”, or “us”) governing your access to and use of our AI brand intelligence platform, web applications, dashboards, command center, APIs, and related documentation (collectively, the “Service”).

By creating a workspace, registering an account, integrating API keys, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an entity, you represent and warrant that you possess the authority to bind that entity.

2. Description of Service & Scientific Sampling Nature

AmpliRank provides empirical measurement and intelligence tools that analyze how third-party foundation models and AI search engines (such as OpenAI, Anthropic, Google, and Perplexity) evaluate, cite, and recommend commercial brands and products in response to buyer prompts.

3. Accounts, Workspace Isolation & Security

To access the platform, Customer must register an administrative account. Customer agrees to provide accurate, current, and complete credentials. AmpliRank enforces multi-tenant database isolation: each workspace is partitioned by a unique workspace identifier, and access is governed by role-based permissions.

• Credential Custody: Customer is solely responsible for maintaining the confidentiality of login credentials, password boundaries, and REST API access tokens.
• API Key Security: REST API keys must be kept secure. AmpliRank stores API tokens strictly as cryptographic hashes (SHA-256) and cannot recover raw keys once generated.
• Immediate Notification: Customer must notify AmpliRank immediately at security@amplirank.com upon detecting any unauthorized access or compromise of workspace tokens.

4. Polling Credits, Rate Limits & Budget Atomicity

Access to AI model query generation and automated polling is regulated by plan-specific polling credit allotments. To defend against over-subscription and race conditions, credit reservations are executed through non-interactive serializable transactions at the database boundary.

Customer agrees not to circumvent rate limits or artificially manipulate polling queues. Any attempt to abuse API endpoints, launch automated denial-of-service attempts, or inject adversarial jailbreak sequences into query execution pipelines will result in immediate suspension of API access and account termination.

5. Customer Data, Privacy & Zero-Training Commitment

Customer retains all right, title, and interest (including all intellectual property rights) in and to Customer Data, including brand names, target competitor domains, custom prompt panels, and proprietary content assets submitted to the Service.

AmpliRank accesses third-party foundation models strictly via enterprise commercial API agreements. Under these agreements, neither AmpliRank nor our upstream AI providers use Customer Data or customer prompt matrices to train, retrain, or improve foundational machine learning models.

6. Acceptable Use & Prohibited Conduct

Customer agrees not to:

• Reverse engineer, decompile, or attempt to extract the source code or proprietary FSR forecasting formulas of the Service.
• Use the Service to scrape, harass, defame, or generate deceptive synthetic content intended to manipulate public search engines or AI retrieval systems maliciously.
• Attempt to bypass tenant boundaries or inspect evidence, answers, or analytics belonging to another AmpliRank customer workspace.
• Resell, sublicense, or rent access to the platform without prior written authorization under an enterprise partner agreement.

7. Fees, Subscription Plans & Billing

Subscriptions are billed on a recurring monthly or annual basis via Stripe. Quotas, workspace seats, prompt allowances, and scan frequency are determined by the Customer's active subscription tier. Upgrades take effect immediately with pro-rated charges; downgrades take effect at the conclusion of the active billing cycle.

All fees are exclusive of applicable sales tax, VAT, or goods-and-services taxes, which will be invoiced where required by law. Payments are non-refundable except where explicitly required by mandatory consumer protection regulations or mutually agreed in an Enterprise Order Form.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. AMPLIRANK EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT THIRD-PARTY AI PROVIDER APIS WILL MAINTAIN UNIFORM BEHAVIOR, LATENCY, OR AVAILABILITY OVER TIME.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AMPLIRANK, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY CUSTOMER TO AMPLIRANK UNDER THE SPECIFIC SUBSCRIPTION PLAN DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
